Please read these Terms of Service carefully before using CodrimChain. By accessing or using our platform, you agree to be bound by these Terms. If you do not agree, do not use the Services.

01Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Merchant," or "you") and CodrimChain ("CodrimChain," "we," "us," or "our") governing your access to and use of the CodrimChain platform, including all related websites, APIs, dashboards, and services (collectively, the "Services").

By registering an account, accessing our merchant portal, or using any part of the Services, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional guidelines or policies incorporated herein by reference.

02Eligibility

To use the Services, you must meet all of the following requirements:

  • Be at least 18 years of age;
  • Be a legal entity (corporation, LLC, partnership, or sole proprietor) duly incorporated or registered under applicable law;
  • Have the legal authority to enter into these Terms on behalf of your organization;
  • Not be located in, organized under the laws of, or controlled by any individual or entity in a jurisdiction subject to comprehensive sanctions by the United Nations, the United States Office of Foreign Assets Control (OFAC), the European Union, or any applicable government authority;
  • Not be named on any government list of prohibited or restricted parties.

CodrimChain reserves the right to refuse service to any applicant at its sole discretion, including based on geographic, regulatory, or risk-based criteria.

03Services

CodrimChain provides a B2B payment infrastructure platform that includes:

  • Virtual Card Issuance: API-driven issuance of Visa virtual prepaid cards, including cardholder management, spending controls, and transaction reporting;
  • Crypto Payment Processing: Acceptance and processing of cryptocurrency payments from end customers, including multi-chain transaction monitoring and settlement;
  • OTC Fiat Exchange: Over-the-counter conversion between fiat currencies and digital assets;
  • Merchant Dashboard: Web-based portal for managing cards, wallets, transactions, and account settings.

We reserve the right to modify, suspend, or discontinue any Service or feature at any time with reasonable notice where practicable.

04Account Registration & KYC/AML

You must complete our account registration process to access the Services. This includes providing accurate, current, and complete information about your business and its beneficial owners.

In compliance with applicable anti-money laundering (AML) and know-your-customer (KYC) regulations, we may require:

  • Business registration documents and certificates of incorporation;
  • Government-issued identification for directors and beneficial owners (≥25% ownership);
  • Proof of business address;
  • Description of business activities and source of funds;
  • Ongoing transaction monitoring and periodic account reviews.

You agree to promptly update your information if it changes and to cooperate fully with any verification requests. CodrimChain may suspend or terminate accounts that fail to meet KYC/AML requirements.

You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. Notify us immediately of any unauthorized access at [email protected].

05Virtual Card Services

Subject to these Terms and applicable card network rules, CodrimChain will issue virtual prepaid cards to approved merchants. The following terms apply:

  • Card Issuance: Cards are issued subject to available balance, KYC approval, and compliance with card network rules (Visa International Operating Regulations);
  • Spending Controls: You may set spending limits, merchant category restrictions, and validity periods per card via our API or dashboard;
  • Funding: Cards are funded from your CodrimChain wallet balance. Insufficient funds will result in declined transactions;
  • Disputes: All transaction disputes must be submitted within 30 days of the transaction date. CodrimChain will investigate in accordance with card network dispute resolution procedures;
  • Card Termination: Cards may be suspended or terminated by CodrimChain for compliance violations, suspected fraud, or breach of these Terms.

Virtual cards are not deposit accounts and are not insured by any government deposit insurance scheme. Unused card balances are subject to the refund policy set out in Section 8.

06Crypto Payment Processing

CodrimChain enables merchants to accept cryptocurrency payments from their customers. You acknowledge and agree that:

  • Transaction Finality: Cryptocurrency transactions are irreversible once confirmed on the blockchain. CodrimChain cannot reverse, cancel, or recall confirmed transactions;
  • Network Confirmations: Payment status is subject to blockchain network confirmation requirements, which vary by asset and network conditions;
  • Settlement: We will settle accepted crypto payments in accordance with the settlement terms agreed at onboarding, which may be in cryptocurrency or fiat equivalent at time of settlement;
  • Supported Assets: Only assets and networks listed on our supported assets page are eligible. Payments sent in unsupported assets may be lost and are not recoverable by CodrimChain;
  • Wallet Addresses: You are solely responsible for providing accurate wallet addresses for settlement. Transactions sent to incorrect addresses cannot be recovered.

07OTC & Fiat Exchange

OTC exchange services are subject to:

  • Exchange rates quoted at the time of transaction confirmation, which are indicative and may change prior to execution;
  • Minimum and maximum transaction size limits as set forth in your merchant agreement;
  • Additional KYC/AML documentation for transactions above applicable thresholds;
  • Settlement timelines that may vary based on banking hours, jurisdictional requirements, and network conditions.

CodrimChain acts as a principal or agent in OTC transactions as disclosed at the time of each transaction. We do not provide investment advice or asset management services.

08Fees & Charges

Applicable fees are disclosed in your merchant agreement and the fee schedule accessible in your dashboard. Fees may include:

  • Card issuance fees per card;
  • Transaction processing fees as a percentage of transaction value;
  • Settlement and withdrawal fees;
  • OTC spread and conversion fees;
  • Monthly platform access fees, if applicable.

All fees are non-refundable unless otherwise required by law. CodrimChain reserves the right to modify its fee schedule upon 30 days' written notice to merchants.

You authorize CodrimChain to deduct applicable fees directly from your wallet balance or settlement amounts.

09Prohibited Activities

Violation of these prohibitions may result in immediate account suspension, fund freezing, and reporting to relevant authorities.

You agree not to use the Services for any of the following:

  • Money laundering, terrorist financing, or any activity in violation of applicable AML/CTF laws;
  • Transactions involving sanctioned individuals, entities, or jurisdictions;
  • Gambling, unlicensed gaming, or lottery operations where prohibited by law;
  • Sale of controlled substances, narcotics, or any illegal goods or services;
  • Child exploitation material or any content that violates laws protecting minors;
  • Fraud, phishing, Ponzi schemes, or any deceptive practices;
  • Intellectual property infringement;
  • Circumventing or attempting to circumvent any security, compliance, or access control measures;
  • Using the Services in any manner that could damage, disable, or impair CodrimChain's infrastructure or systems.

10Risk Disclosure

By using the Services, you acknowledge the following risks:

  • Price Volatility: Cryptocurrency values can fluctuate dramatically. CodrimChain does not guarantee the value of any digital asset;
  • Regulatory Risk: The regulatory status of digital assets is uncertain and evolving. Changes in law or regulation may adversely affect your ability to use the Services;
  • Technology Risk: Blockchain networks, smart contracts, and related infrastructure may be subject to bugs, hacks, or unexpected downtime. CodrimChain is not responsible for losses arising from network failures outside our control;
  • Irreversibility: Blockchain transactions cannot be reversed. Errors in wallet addresses or transaction amounts may result in permanent loss of funds;
  • Custody Risk: While CodrimChain employs industry-standard security measures, no system is completely immune to attack. Digital assets held on the platform are not covered by deposit insurance.

You should only use the Services with funds you can afford to lose and should seek independent legal and financial advice if uncertain about any of the above risks.

11Intellectual Property

All intellectual property rights in the CodrimChain platform, APIs, branding, documentation, and content are owned by or licensed to CodrimChain. Nothing in these Terms grants you any right to use our trademarks, logos, or proprietary technology except as expressly permitted.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes in accordance with these Terms.

12Limitation of Liability

To the maximum extent permitted by applicable law, CodrimChain and its affiliates, directors, employees, and agents shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages;
  • Loss of profits, revenue, data, business, or goodwill;
  • Losses arising from unauthorized access to your account;
  • Losses arising from blockchain network failures, forks, or attacks;
  • Losses arising from actions of third parties including card networks, banks, or regulators.

In any case, our aggregate liability to you for all claims arising under these Terms shall not exceed the total fees paid by you to CodrimChain in the three (3) months preceding the claim.

13Indemnification

You agree to indemnify, defend, and hold harmless CodrimChain and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Services, your breach of these Terms, your violation of any applicable law, or any third-party claims resulting from your business activities.

14Termination

Either party may terminate these Terms by providing 30 days' written notice. CodrimChain may suspend or terminate your account immediately, without notice, if:

  • You breach any provision of these Terms;
  • We are required to do so by law or regulatory order;
  • We reasonably suspect fraud, money laundering, or other illegal activity;
  • Your account poses an unacceptable risk to CodrimChain or other users.

Upon termination, your access to the Services will cease. Any outstanding balances will be settled in accordance with our standard procedures, subject to any legal holds or regulatory requirements. Sections 10–13 and 15 survive termination.

15Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable commercial law. Any dispute arising out of or in connection with these Terms that cannot be resolved amicably within 30 days shall be submitted to binding arbitration under internationally recognized arbitration rules.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class or representative action.

16Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email to your registered address or through a prominent notice on the platform at least 14 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
